Terms of Use

These Terms of Use govern access to and use of RËEL Studio, including RËEL Soundz, RËEL Voice, RËEL Visuals, RËEL Cover, SOUNDZ Lab, RËEL Premiere, New Release workflows, collaboration features, and all related services operated by SoSheri Soundz LLC ("RËEL," "we," "us"). By creating an account, accessing the platform, or using any service, you agree to these Terms.

Age Requirement

You must be at least 18 years of age to create an account, purchase services, or use RËEL Studio. By creating an account or completing a purchase, you represent and warrant that you are 18 years of age or older. If you are under 18, you may not use this platform. Users under 18 may only participate with explicit written consent of a parent or legal guardian who agrees to be bound by these Terms on the minor's behalf. SoSheri Soundz LLC reserves the right to terminate any account where underage use is discovered.

Beta Platform Disclosure

RËEL Studio is currently operating in a development and user acceptance testing (UAT) phase. During this phase:

• Some tools and features are experimental and may not perform as expected.
• AI generation outputs may fail, be incomplete, or produce unexpected results.
• Features may change, be temporarily unavailable, or be removed without notice.
• Third-party AI provider availability may affect service delivery.
• Platform stability, uptime, and output quality are not guaranteed during beta.

Your use of RËEL Studio during the beta phase is at your own risk. We appreciate your patience and feedback as we continue development.

Upload Certifications and Content Warranties

Before uploading content or submitting a generation request, you are required to certify the following. By uploading or submitting any content — including audio, vocals, images, lyrics, artwork, video, or any other material — you represent, warrant, and certify that:

• You own, or possess all necessary rights, licenses, clearances, permissions, and authority for all uploaded content.
• Your uploaded content does not infringe the copyright, trademark, publicity, privacy, or any other rights of any third party.
• Any voice recordings, vocal samples, or audio files you upload are recordings of your own voice, or you have explicit written authorization from the person whose voice is recorded.
• Any photos, images, or likenesses you upload are of yourself, or you have explicit written consent from every person depicted.
• You are not impersonating any public figure, celebrity, brand, or other person or entity.
• You are not uploading content that is illegal, defamatory, fraudulent, obscene, harassing, or otherwise harmful.
• You are not violating any trademark rights or using any brand identity without authorization.
• You authorize RËEL Studio and its third-party AI providers to process your uploaded content for the purpose of delivering the generation services you have requested.

Uploading content in violation of these warranties may result in immediate account termination, removal of content, forfeiture of paid credits, and may expose you to civil and criminal legal liability. RËEL Studio accepts no liability for content uploaded in violation of these terms.

AI Processing Disclosure

RËEL Studio uses artificial intelligence tools and third-party AI providers to generate, process, and deliver platform outputs. By using generation features, you acknowledge and agree that:

• Your uploaded content, prompts, and generation requests may be transmitted to and processed by third-party AI providers including but not limited to Replicate, OpenAI, MiniMax, FAL.AI, ElevenLabs, and similar services.
• AI-generated outputs may not be unique. Similar or identical outputs may be generated for other users submitting similar prompts.
• AI-generated outputs may contain inaccuracies, artifacts, rendering inconsistencies, lip-sync imperfections, or other errors that are inherent characteristics of current AI technology.
• You are solely responsible for reviewing all AI-generated outputs before publishing, distributing, licensing, or monetizing them.
• You are solely responsible for obtaining any commercial clearances, legal reviews, or third-party licenses required for your intended use of AI-generated outputs.
• Third-party AI providers may update, modify, or discontinue their models at any time, which may affect output quality, availability, or compatibility.
• RËEL Studio does not guarantee the availability, performance, or output quality of any third-party AI provider.

User Content and Ownership

You retain ownership of all original content you upload to RËEL Studio. RËEL does not claim ownership of your music, lyrics, vocals, images, or original creative works.

For AI-generated outputs produced through the platform:

• You may retain rights to delivered AI-generated assets to the extent permitted by applicable law, these Terms, and the terms of the relevant third-party AI provider.
• RËEL does not guarantee the copyrightability, exclusivity, or commercial clearance of AI-generated content.
• AI-generated outputs may be subject to restrictions imposed by third-party model providers. You are responsible for reviewing and complying with applicable provider terms.
• RËEL does not guarantee that AI-generated outputs are free from third-party intellectual property claims.

By submitting content to RËEL Studio, you grant RËEL a limited, non-exclusive, royalty-free license to process, host, render, and deliver your content solely for the purpose of providing the services you have requested.

Prohibited Conduct

You may not use RËEL Studio to:

• Clone, replicate, or generate the voice, likeness, or identity of any celebrity, public figure, or other person without explicit written authorization.
• Impersonate any person, brand, organization, or public figure.
• Upload or use any content containing another person's likeness, voice, or identity without their explicit written consent.
• Upload, generate, publish, or distribute any content that infringes copyright, trademark, or other intellectual property rights.
• Generate, distribute, or use deceptive deepfakes or synthetic media designed to mislead, defame, or harm any person.
• Upload or generate any illegal, obscene, hateful, extremist, harassing, threatening, or defamatory content.
• Generate content that sexualizes minors or violates any child protection law.
• Use the platform for fraud, phishing, spam, malware distribution, or any deceptive commercial practice.
• Attempt to circumvent platform security, content moderation, or access controls.
• Use automated bots, scripts, or tools to abuse platform services or exhaust computational resources.
• Resell, sublicense, or commercially exploit platform services in violation of these Terms.

Content Moderation Rights

RËEL Studio reserves the right, at its sole discretion, to:

• Remove, reject, or disable any uploaded content or AI-generated output at any time.
• Suspend or permanently terminate any user account for violations of these Terms.
• Disable generation services for accounts suspected of abuse or policy violations.
• Investigate reports of abuse, infringement, or policy violations.
• Cooperate with law enforcement agencies, rights holders, and legal processes as required by applicable law.
• Report suspected illegal activity to appropriate authorities.
• Modify, pause, or terminate any platform feature or service at any time.

Content removal or account termination does not entitle the user to a refund of any paid fees or credits.

Third-Party Provider Disclosure

RËEL Studio integrates with third-party APIs, services, and infrastructure providers to deliver platform functionality. These may currently include or in the future include:

• Replicate — AI model inference and hosting
• OpenAI — Image generation and AI processing
• MiniMax — Music and speech generation
• FAL.AI — AI inference infrastructure
• ElevenLabs — Voice synthesis
• Supabase — Database and authentication
• Stripe — Payment processing
• Netlify — Hosting and serverless functions
• Other AI, cloud, and infrastructure providers as needed

Provider availability may change without notice. Third-party providers may update, deprecate, or discontinue their models or services. RËEL Studio is not liable for service interruptions, quality changes, or failures attributable to third-party providers.

DMCA and Copyright Infringement

RËEL Studio complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the platform infringes your copyright, you may submit a takedown notice to:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on the platform; (3) your contact information; (4) a statement of good faith belief that the use is unauthorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the rights holder; (6) your physical or electronic signature.

Repeat Infringer Policy

RËEL Studio maintains a repeat infringer policy. Users who repeatedly upload infringing content will have their accounts permanently terminated.

Counter-Notices

If you believe your content was removed in error, you may submit a counter-notice to the same email address. Counter-notices must comply with DMCA requirements and include your contact information, identification of the removed content, a statement under penalty of perjury that the removal was a mistake, and your consent to jurisdiction.

Disclaimers and Limitation of Liability

RËEL Studio and its services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, RËEL Studio expressly disclaims all warranties including fitness for a particular purpose, merchantability, and non-infringement.

RËEL Studio shall not be liable for:

• Errors, inaccuracies, or unexpected content in AI-generated outputs.
• Copyright disputes, infringement claims, or intellectual property liability arising from user-uploaded content or AI outputs.
• Failures, outages, or service interruptions caused by third-party AI providers.
• Loss of data, uploaded content, or generated outputs due to technical failures.
• Failed, incomplete, or low-quality AI generations.
• Changes to or deprecation of AI models or third-party provider services.
• Indirect, incidental, consequential, special, or punitive damages of any kind.
• Loss of revenue, profits, business opportunity, or reputation arising from use of the platform.

In no event shall RËEL Studio's total liability to you for any claim exceed the amount you paid to RËEL Studio in the 30 days preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RËEL Studio, SoSheri Soundz LLC, and their respective officers, employees, affiliates, licensors, and third-party service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Content you upload, submit, generate, or distribute through the platform.
• Your violation of any copyright, trademark, privacy, publicity, or other intellectual property or personal rights.
• Your unlawful, unauthorized, or improper use of the platform or AI generation tools.
• Your violation of these Terms or any applicable law or regulation.
• Any claim by a third party arising from content you created, uploaded, or distributed.
• False certifications or misrepresentations you made in connection with your use of the platform.

Payments, Credits, and Billing

All purchases are subject to the Refund and Delivery Policy. By purchasing credits, packages, or subscriptions, you agree that:

• Prepaid credits and deposits are non-refundable once generation or processing has begun.
• Subscription fees are billed according to the selected plan and are non-refundable except as required by law.
• Fraudulent chargebacks, payment disputes, or payment reversals may result in immediate account suspension, forfeiture of credits, and referral for debt collection.
• RËEL Studio reserves the right to terminate accounts with a history of fraudulent payment activity.
• All prices are subject to change. Price changes will be communicated with reasonable notice.

AI Output Ownership Clarification

• You retain ownership of your original uploaded content at all times.
• AI-generated outputs may still be subject to restrictions imposed by third-party model providers, including Replicate, MiniMax, OpenAI, ElevenLabs, and others.
• RËEL Studio does not guarantee the copyrightability of AI-generated content under U.S. or international law.
• RËEL Studio does not guarantee that AI-generated outputs are unique or exclusive to your account.
• Users are solely responsible for determining whether AI-generated outputs meet the requirements for their intended commercial use.

RËEL Premiere and Featured Placement

Featured placement, RËEL Premiere participation, selection windows, promotion duration, and eligibility rules are subject to change. Opting in does not guarantee selection. RËEL may modify, pause, or remove promotional programs at any time without compensation.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. You agree that any dispute arising from or related to these Terms or your use of RËEL Studio shall be subject to the exclusive jurisdiction of the state and federal courts located in Virginia. You waive any objection to venue or personal jurisdiction in such courts.

Before initiating any formal legal proceeding, you agree to contact RËEL Studio at support@getreel.studio to attempt informal resolution of any dispute.

Changes to Terms

RËEL Studio reserves the right to modify these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated by email or platform notice where reasonably practicable.

RËEL does not provide legal advice. This document is for informational purposes. Artists should consult a qualified attorney for legal guidance specific to their situation.
